Version draft-2026-10-05 · effective 2026-10-08
This text is an engineering draft prepared so the platform has complete, accurate wording to hand to a lawyer. It is not legal advice and has not been reviewed by counsel. Items marked [COUNSEL REVIEW REQUIRED] are open commercial or jurisdictional decisions that must be settled before this becomes the accepted version.
These terms are between International Welding Bureau ("IWB", "we") and the organization that subscribes to the IWB platform ("Customer", "your organization"), together with each individual who signs in to it ("you").
An individual who accepts these terms on behalf of an organization confirms they are authorized to bind that organization.
[COUNSEL REVIEW REQUIRED] Legal entity name, registered address and jurisdiction of incorporation.
IWB provides a multi-tenant platform for welding documentation: material test report (MTR) validation, welder qualification records, sign-off workflows, and the reporting, billing and administration around them.
Which capabilities your organization can use depends on the modules and plan it has subscribed to. We may add, change or withdraw individual features, and will give reasonable notice before withdrawing a feature your organization relies on.
Your organization's administrators create and remove user accounts and decide what each user can do. You are responsible for keeping your credentials confidential and for activity under your account.
API keys issued under Settings are bearer credentials: anyone holding one can act as the account that issued it. Treat them as passwords and rotate them if exposed.
We may suspend an individual account immediately where we reasonably believe it has been compromised or is being used to attack the platform.
Your organization owns the documents, reports and records it uploads or creates. We process them to operate the service for you, and for no other purpose. We do not sell them, and we do not use the content of your documents to train models for other customers.
You are responsible for the accuracy of what you upload and for having the right to upload it.
We keep audit records and signed documents for as long as your organization's retention configuration and the standards it works under require, and for as long as we are required to keep them by law.
MTR scanning and validation are automated aids. They can misread a document, miss a defect, or flag a compliant document. Every validated report is signed off by an authorized reviewer in your organization, and that sign-off — not our output — is the compliance record.
We do not certify materials, qualify welders, or act as an inspection body. Nothing the platform produces is a certification, an approval, or professional engineering advice.
The platform is prepaid. Your organization buys platform credit, and usage is charged against that credit at the rates shown in the billing catalog at the time of use. Subscription items, including per-user seats, are charged on their own cycle.
Credit purchases are payments for platform credit, not deposits. Credit is not cash, cannot be transferred to another organization, and is not redeemable for cash except where the law requires it.
Invoiced purchases are due on the terms stated on the invoice. We may suspend service on an account with an overdue invoice after notice.
If your organization enables Auto-Recharge, it authorizes us to charge the stored payment method the configured amount, without further confirmation, whenever its balance falls below the configured threshold. That authorization is recorded, can be changed or withdrawn at any time from the billing dashboard, and is reconfirmed when the amount or the payment method changes.
[COUNSEL REVIEW REQUIRED] Taxes. The platform charges and records amounts exclusive of tax, and does not currently compute, collect or remit sales tax, VAT or GST. Whether that is correct for each place we sell into, and who bears the liability, must be settled before launch.
Refunds are issued as platform credit to your organization's wallet, not to the original payment method, except where the law requires otherwise.
Where an MTR scan is charged but its result is wrong or unusable, raise a support ticket identifying the scan. If we agree, the charge is refunded to your wallet in full.
Where a scan we run asynchronously fails without producing a result, the charge is refunded to your wallet automatically.
Demo and bonus credit is promotional. It is spent before paid credit, it expires on the date shown, and anything unspent at that date is removed. A refund of a charge paid with expired promotional credit is returned as ordinary credit.
[COUNSEL REVIEW REQUIRED] Account closure and unused paid balance: whether unused credit is refundable in cash on closure, forfeited after a stated period, or held indefinitely, and how that interacts with unclaimed property law in each state we sell into.
You will not: upload content you do not have the right to upload; attempt to access another organization's data; probe, scan or attack the platform; evade rate limits or usage metering; resell access without a written agreement; or use the platform to produce records you know to be false.
The platform, including its software, models, interfaces and documentation, remains ours. These terms grant your organization a non-exclusive, non-transferable right to use it for its own business while its subscription is current, and nothing more.
Feedback you give us about the platform may be used freely, without obligation to you.
We aim for continuous availability and publish maintenance windows in advance where we can. Any specific availability commitment applies only if it is written into your organization's agreement with us.
Except as expressly stated in these terms or in your organization's agreement, the platform is provided "as is" and "as available". We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that automated validation is correct in every case, that the platform will be uninterrupted or error-free, or that it will meet every requirement of any standard your organization works under.
[COUNSEL REVIEW REQUIRED] Liability cap and excluded losses. The drafting intent is: neither party is liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits or lost data; and our total liability is capped at the fees paid by your organization in the twelve months before the claim. The exclusions normally carved out of such a cap — death or personal injury, fraud, and anything that cannot be limited by law — must be stated explicitly, and the cap checked against the risk a safety-critical documentation product actually carries.
[COUNSEL REVIEW REQUIRED] Mutual indemnity scope, including your organization's indemnity for content it uploads and ours for third-party claims that the platform itself infringes.
Your organization may stop using the platform at any time; its subscription and notice period are governed by its agreement with us.
You may close your individual account from Account & Security. Closing it removes your personal details and ends your access; it does not remove your organization's records, its audit trail, or documents you signed, which we are required to keep.
We may suspend or terminate access for material breach of these terms, for non-payment after notice, or where required by law.
We publish each version of these terms separately and record which version each user accepted and when. When we publish a version that changes your rights or obligations, we ask you to accept it the next time you sign in, and tell you what changed. Continuing to use the platform after being asked does not count as acceptance — accepting does.
[COUNSEL REVIEW REQUIRED] Governing law, venue, and whether disputes go to the courts, to arbitration, or to arbitration with a carve-out for injunctive relief.
These terms, together with your organization's written agreement with us and the documents they reference, are the entire agreement between us on this subject. If any part of them is unenforceable, the rest stands. Neither of us is liable for failure to perform caused by events outside our reasonable control. We may assign these terms to a successor in connection with a merger or sale of the business; otherwise neither of us may assign them without the other's consent.
